Medix User Service Agreement


[Introduction and Preface]

Welcome to use Medix video software and services!

To use the Medix Video Software (hereinafter referred to as the "Software") and services, you shall read and comply with the Medix Video Software License and Service Agreement (hereinafter referred to as the "Agreement"). Please carefully read and fully understand the contents of each clause, especially the clauses that exempt or limit liability, as well as the separate agreement for opening or using a certain service, and choose to accept or reject them.

Unless you have read and accepted all the terms of this agreement, you have no right to download, install or use this software and related services. Your actions of downloading, installing, using, logging in, etc. are deemed as reading and agreeing to the constraints of the above agreement.

If you are under 18 years old, please read this agreement and other aforementioned agreements with the accompaniment of your legal guardian, and pay special attention to the terms of use for minors.


1. Scope of the Agreement

1.1 [Scope of Applicable Parties to the Agreement]

This agreement is between you and Medix regarding your downloading, installation, use, copying of this software, and use of Medix related services.

1.2 [Agreement Relationship and Conflict Terms]

This agreement also includes relevant agreements, business rules, and other content that Medix may continuously publish regarding this service. Once the above content is officially released, it becomes an integral part of this agreement and you should also comply with it.


2. Regarding this service

2.1 [Content of this Service]

The content of this service refers to the software license and services provided by Medix to users for using this software to watch video content online, as well as including but not limited to search, bookmark and other functions (hereinafter referred to as "this service").

2.2 [Form of Service]

2.2.1 To use this service, you need to download the Medix video client software. For these software, Medix grants you a personal, non transferable, and non exclusive license. You may only use these software and services for the purpose of accessing or using this service.

2.2.2 The Medix video client software provided in this service requires users to select the software version that matches the installation.

2.3 [Scope of this Service License]

2.3.1 Medix grants you a personal, non transferable, and non exclusive license to use this software. You can install, use, display, and run this software on a single terminal device for non-commercial purposes.

2.3.2 You may make a copy of this software for the purpose of using it and its services, solely for backup purposes. The backup copy must include all intellectual property information contained in the original software.

2.3.3 All other rights not expressly authorized by this clause and other provisions of this agreement shall be retained by Medix, and you shall obtain written permission from Medix separately when exercising these rights. If Medix fails to exercise any of the aforementioned rights, it does not constitute a waiver of such rights.


3. [Acquisition of Software]

3.1 You can obtain this software directly from Medix's website or from third parties authorized by Medix.

3.2 If you obtain this software or an installation program with the same name as this software from a third party not authorized by Medix, Medix cannot guarantee that the software will function properly and will not be responsible for any losses caused to you as a result.


4. Installation and uninstallation of software

4.1 Medix may have developed different software versions for different terminal devices, and you should choose to download the appropriate version for installation based on the actual situation.

After downloading and installing the program, you need to follow the steps prompted by the program to install it correctly.

4.3 In order to provide better and safer services, Medix may recommend you to install other software during the installation of this software. You can choose to install or not install it.

4.4 If you no longer need to use this software or need to install a new version of the software, you can uninstall it yourself. If you are willing to help Medix improve its product services, please inform us of the reason for uninstallation.


5. Software Update

5.1 In order to improve user experience and enhance service content, Medix will continuously strive to develop new services and provide you with software updates from time to time (which may take the form of software replacement, modification, feature enhancement, version upgrade, etc.).

5.2 In order to ensure the security and consistency of functionality of this software and services, Medix has the right to update the software or change or restrict some of its functional effects without special notice to you.

5.3 After the release of a new version of this software, older versions may not be usable. Medix does not guarantee that older versions of software will continue to be available and provide corresponding customer service. Please check and download the latest version at any time.


6. User Personal Information Protection

6.1 Protecting users' personal information is a fundamental principle of Medix, and Medix will take reasonable measures to protect users' personal information. Except as provided by laws and regulations, Medix will not disclose or reveal users' personal information to third parties without their permission. Medix adopts professional encryption storage and transmission methods for relevant information to ensure the security of users' personal information.

6.2 During the use of this software and services, you may need to provide some necessary information. If there are special provisions in national laws, regulations or policies, you need to provide real identity information. If the information you provide is incomplete, you will not be able to use this service or will be restricted during use.

6.3 In general, you may browse the information you submit at any time, but for security and identity recognition reasons (such as number appeal services), you may not be able to modify the initial information and other verification information provided during registration.

6.4 Medix will use various security technologies and procedures to establish a comprehensive management system to protect your personal information from unauthorized access, use, or disclosure.

6.5 Without your consent, Medix will not disclose your personal information to any company, organization, or individual outside of Medix, except as otherwise provided by laws and regulations.

Medix attaches great importance to the protection of personal information of minors. If you are a minor under the age of 18, you should obtain written consent from your parent or legal guardian before using Medix's services.


7. Sovereign Rights and Obligations Clause

7.1 [Account Usage Guidelines]

Users have the responsibility to properly safeguard the security of their registered account information and password, and are legally responsible for any actions taken under their registered account and password. The user agrees not to disclose account and password information to others under any circumstances. When you suspect that someone is using your account, you should immediately notify Medix.

7.2 [User Precautions]

7.2.1 You understand and agree that in order to provide you with effective services, this software will utilize the processor and bandwidth resources of your computer device. During the use of this software, data traffic fees may be incurred. Users need to inquire about relevant tariff information from the operator themselves and bear the related costs.

7.2.2 When using a specific service of this software, the service may have separate agreements, relevant business rules, etc. (hereinafter collectively referred to as "separate agreements"). Please read and agree to the relevant separate agreements before using the service.

7.2.3 You understand and agree that Medix will make reasonable commercial efforts to ensure the security of your data storage in this software and service. However, Medix cannot provide complete guarantees in this regard, including but not limited to the following situations:

7.2.3.1 Medix is not responsible for the deletion or storage failure of your relevant data in this software and service;

7.2.3.2 Medix has the right to determine the maximum storage period or storage space for individual users' data in this software and service based on actual circumstances, and allocate the maximum storage space for their data on the server.

7.2.3.3 If you cease to use this software and services, or if the services are terminated or cancelled, Medix may permanently delete your data from the server. After the service is stopped, terminated, or cancelled, Medix is not obligated to return any data to you.

7.2.4 Users shall bear the following uncontrollable risks when using this software and services, including but not limited to:

7.2.4.1 Risks of personal information loss, leakage, etc. that may arise due to uncontrollable factors;

7.2.4.2 Users must choose the software version that matches the installed computer. Otherwise, any problems or damages caused by the software not matching the computer model shall be borne by the user;

7.2.4.3 Users shall bear the risks that may arise from third-party websites and related content when using this software to access them;

7.2.4.4 The risks and responsibilities that may arise from the dissemination of content posted by users being forwarded or shared by others;

7.2.4.5 Risks such as login failure, incomplete data synchronization, and slow page opening caused by unstable network signals and low network bandwidth.


8. User Code of Conduct

8.1 [Information Content Specification]

8.1.1 You may use this software and service to express your original or authorized opinions. You must ensure that you own the intellectual property rights or have obtained legal authorization for the information content you upload, and that any actions you take to use this software and services do not infringe upon the legitimate rights and interests of any third party.

8.1.2 You shall not use this service to engage in the following activities, including but not limited to:

8.1.2.1 Publish, transmit, disseminate, and store content that violates national laws, endangers national security and unity, social stability, public order and good customs, social morality, as well as insults, defamation, obscenity, or contains any sexual or sexual implications or violence;

8.1.2.2 Publish, transmit, disseminate, and store content that infringes upon the legitimate rights of others, such as reputation, portrait, intellectual property, trade secrets, etc;

8.1.2.3 Posting, transmitting, disseminating, or storing information that involves the privacy, personal information, or data of others;

8.1.2.4 Publish, transmit, spread harassment, advertising information, and spam messages;

8.1.2.5 Other information that violates laws, regulations, policies, public order, social morality, interferes with the normal operation of videos, and infringes on the legitimate rights and interests of other users or third parties.

8.2 [Software Usage Specification]

Unless permitted by law or written permission from Medix, you are not allowed to engage in the following activities while using this software:

8.2.1 Delete copyright information from this software and its copies;

8.2.2 Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of this software;

8.2.3 Use, rent, lend, copy, modify, link, reproduce, compile, publish, publish, and establish mirror sites for content owned by Medix's intellectual property rights;

8.2.4 Copy, modify, add, delete, suspend, or create any derivative works of the software or any data released into the memory of any terminal during the operation of the software, interaction data between the client and server during the operation of the software, and system data necessary for the operation of the software, including but not limited to the use of plugins, plug-ins, or third-party tools/services not authorized by Medix to access the software and related systems;

8.2.5 By modifying or forging instructions and data during software operation, adding, deleting, or altering the functionality or performance of the software, or operating or disseminating software or methods used for the aforementioned purposes to the public, regardless of whether these actions are for commercial purposes or not;

8.2.6 Log in or use Medix software and services, or create, publish, or disseminate the aforementioned tools, through third-party software, plugins, plug-ins, or systems that are not developed or authorized by Medix;

8.2.7 Interference with this software and its components, modules, and data by oneself or by authorizing others or third-party software;

8.2.8 Other unauthorized actions by Medix.

8.3 [Responsible for one's own actions]

You fully understand and agree that you are responsible for all your use of this software and services, including any content you publish and any consequences arising therefrom. You should make your own judgment on the content of this service and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or usefulness of the content. Medix cannot and will not be liable for any loss or damage resulting from the aforementioned risks.

8.4 [Default Handling]

8.4.1 If Medix discovers or receives reports or complaints from others that users have violated the provisions of this agreement, Medix has the right to delete the relevant content at any time without notice, and impose penalties on the violating account, including but not limited to warnings, restrictions or prohibitions on the use of all or part of the functions, account suspension until cancellation, depending on the circumstances of the behavior, and announce the results of the handling.

8.4.2 You understand and agree that Medix has the right to impose penalties on any violation of relevant laws, regulations or provisions of this agreement based on reasonable judgment, take appropriate legal actions against any user who violates the law, and report relevant information to relevant departments in accordance with laws and regulations. Users shall bear all legal responsibilities arising therefrom.

8.4.3 You understand and agree that you shall be solely responsible for any claims, demands or losses claimed by third parties due to your violation of the provisions of this Agreement or relevant service terms; If Medix suffers losses as a result, you should also compensate accordingly.


9. [Intellectual Property Declaration]

9.1 Medix is the intellectual property owner of this software. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of this software, as well as all information content related to this software (including but not limited to text, images, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.), are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Medix enjoys the above-mentioned intellectual property rights.

9.2 Without Medix's written consent, you may not implement, use, or transfer the aforementioned intellectual property rights for any commercial or non-commercial purposes on your own or by license to any third party. Medix reserves the right to pursue legal responsibility for such actions.


10. Terminal Security Responsibility

10.1 You understand and agree that this software, like most Internet software, may be affected by many factors, including but not limited to user reasons, network service quality, social environment, etc; It may also be subject to various security issues, including but not limited to others illegally using user data for real-life harassment; Users downloading and installing other software or accessing other websites may contain viruses, Trojan programs, or other malicious programs that threaten the security of your terminal device information and data, thereby affecting the normal use of this software. Therefore, you should strengthen your awareness of information security and personal information protection, pay attention to password protection, and avoid losses.

10.2 You shall not create, publish, use, or disseminate malicious programs used to steal video accounts and personal information or property of others.

10.3 Maintaining software security and normal use is the joint responsibility of Medix and you. Medix will reasonably and prudently take necessary technical measures to protect the security of your terminal device information and data in accordance with industry standards. However, you acknowledge and agree that Medix cannot provide complete guarantees in this regard.


11. Third party software or technology

11.1 This software may use third-party software or technology (including open source code and public domain code that this software may use, etc.), and such use has been legally authorized.

11.2 If this software uses third-party software or technology, Medix will, in accordance with relevant regulations or agreements, display relevant agreements or other documents in the form of attachments to this agreement, packaging in specific folders of this software installation package, etc. They may be expressed in the form of "Software Usage License Agreement", "License Agreement", "Open Source Code License", or other forms. The aforementioned agreements or other documents displayed in various forms are an integral part of this agreement and have the same legal effect as this agreement. You should comply with these requirements. If you fail to comply with these requirements, the third party or national authorities may bring lawsuits, fines, or take other sanctions against you. Requesting assistance from Medix, you shall bear legal responsibility on your own.

11.3 In case of any disputes arising from the use of third-party software or technology in this software, the third party shall be responsible for resolving them, and Medix shall not be liable for any responsibility. Medix does not provide customer service support for third-party software or technology. If you need support, please contact the third party


12. [Other]

12.1 By using this software, you are deemed to have read and agreed to be bound by this agreement. Medix reserves the right to modify the terms of this agreement as necessary. You can refer to the relevant agreement terms in the latest version of this software. After the terms of this agreement are changed, if you continue to use this software, it will be deemed that you have accepted the modified agreement. If you do not accept the modified agreement, you should stop using this software.

12.2 The headings of all clauses in this agreement are for convenience of reading only and do not have any actual meaning in themselves, and cannot serve as a basis for interpreting the meaning of this agreement.

12.3 Regardless of the reason why any provision of this agreement is partially invalid or unenforceable, the remaining provisions shall remain valid and binding on both parties.

12.4 The online video service of this software is provided by Medix's proxy operator, and the relevant rights and obligations shall be subject to the relevant user agreement of the proxy operator's service.
